Beneficial ownership in respect of a company means, an individual who, directly or indirectly, ultimately owns that company or exercises effective control over that company. Beneficial ownership declaration must be done within 10 business days after company registration else the company will be de-registered. Beneficial ownership information must also be updated or resubmitted with director changes and when the company annual returns are submitted.
The Companies and Intellectual Property Commission (CIPC) requires all companies and entities registered with them to disclose their true owners (those with over 5% beneficial ownership) on CIPC’s register.
